XIRP PREVIEW TERMS

These preview terms (“Preview Terms”) govern Customer’s access to, and use of, Spotify’s preview release of Xirp.
Xirp is a desktop application that installs locally on Customer devices and manages Customer’s Third-Party AI Agent sessions. Xirp may be optionally used with Spotify Portal for Backstage to the extent Customer has obtained such a Portal instance.
These Preview Terms incorporate by reference the Spotify for Backstage Subscription License Terms (“License Terms”) available at https://backstage.spotify.com/spotify-for-backstage-terms/, or, if Customer has a signed agreement for the use of Spotify’s Software or Platform (as defined in the above-referenced terms), then these Preview Terms apply in addition to and incorporate such signed customer agreement (“Customer Agreement”). The Preview Terms together with the License Terms or Customer Agreement, as applicable, are collectively referred to as the “Agreement”.
In the event of any conflict or inconsistency between these Preview Terms and the License Terms or Customer Agreement, these Preview Terms will govern and prevail with respect to Customer’s use of Xirp.
By signing up for, accessing, downloading or otherwise using Xirp you agree to these Preview Terms. If you do not agree to these Preview Terms, then you must not use Xirp.
  1. Definitions
    For the purpose of these Preview Terms, the following definitions apply. Any other capitalized terms used but not defined in these Preview Terms will have the meaning given to them in the Agreement.
    1. Customer Session Interaction Data means the session logs from Customer’s interactions with their Third-Party AI Agents that may be uploaded and stored in Customer’s Portal instance. Customer Session Interaction Data may include, without limitation, customer prompts and instructions, source code and repository context, customer configuration and preferences, model suggestions and responses, customer edits, accept/reject decisions, and other interaction signals.
    2. Third-Party AI Agents mean Customer’s third-party AI agents procured or used by Customer in connection with Xirp.
  2. Term, Termination and Transition Out of Preview
    1. Spotify provides Customer access to Xirp in accordance with the terms for Early Access Products set out under Section 2 of the License Terms. Due to its nature as an Early Access Product, Spotify reserves the right to change, suspend or discontinue Xirp, or suspend or limit Customer’s access to Xirp at any time, in whole or in part. Customer may also terminate these Preview Terms at any time, in which case Customer is not allowed to continue accessing or using Xirp.
    2. Xirp will remain governed by these Preview Terms for as long as it remains an Early Access Product. Spotify may transition Xirp out of being an Early Access Product at any time in its sole discretion, at which point these Preview Terms will cease to govern. Spotify will give Customer reasonable advance notice prior to such transition and Customer’s continued access to and use of Xirp following such transition will be governed by the License Terms or Customer Agreement, as applicable, together with any new or additional product or service specific terms governing the use of Xirp after it is no longer an Early Access Product. If Customer does not agree, Customer must stop using Xirp before the transition takes effect.
  3. Third-Party AI Agents and Customer Session Interaction Data
    1. Xirp is currently compatible with the following Third-Party AI Agents: Claude Code, Codex and Gemini CLI. Spotify may decide to add support for additional AI agents, including other Third-Party AI Agents, at its sole discretion.
    2. Customer acknowledges and agrees that the Third-Party AI Agents are Customer’s sole responsibility and that Customer is solely responsible for complying with any terms and conditions applicable to such Third-Party AI Agents. Spotify is not responsible and will have no liability for any inputs, outputs, operations, interactions, manipulations or other acts or omissions performed by or between such Third-Party AI Agents.
    3. As between Spotify and Customer, Spotify retains ownership and all rights to Xirp and Customer retains ownership to all Customer Session Interaction Data.
    4. Spotify may store, use, and process Customer Session Interaction Data as reasonably necessary to provide, maintain, develop and improve our products and services, maintain and improve safety and security, investigate and prevent abuse, debug and resolve technical issues, comply with applicable law, and enforce the Agreement.
    5. Customer represents and warrants that it has all rights, consents and permissions necessary to provide the Customer Session Interaction Data to Spotify and to permit Spotify to process it as set out in these Preview Terms, including in respect of any employer-owned or third-party content, source code or repository context contained in such data.
  4. Acceptable Use
    Customer is solely responsible for using Xirp in a responsible, legal and safe manner and only in accordance with applicable laws and these Preview Terms. Specifically, Customer must not:
    1. use Xirp to access, retrieve, or generate content that is unlawful, misleading, harmful, abusive, or otherwise objectionable;
    2. employ Xirp to disseminate false or deceptive information, including for misinformation, disinformation, or manipulation;
    3. attempt to use Xirp to extract proprietary, sensitive, or copyrighted content from third-party sources in violation of applicable rights or licenses;
    4. circumvent technical limits, probe for vulnerabilities, or attempt unauthorized access to content, systems, or data;
    5. use Xirp to create or assist in surveillance, profiling, or decision-making processes that violate privacy or other legal rights of individuals;
    6. interfere with the functioning, security, or performance of Xirp.
    If Customer is deemed to use Xirp in violation of this section 4, Spotify may immediately suspend or terminate Customer’s access to Xirp, without prior notice or liability to Customer.
  5. Disclaimers and Limitation of Liability
    1. CUSTOMER ACKNOWLEDGES AND AGREES THAT XIRP IS A PRE-RELEASE PRODUCT AND EARLY-STAGE, EXPERIMENTAL, AND ACTIVELY EVOLVING. FEATURES AND INTERFACES MAY CHANGE SIGNIFICANTLY OR BE DISCONTINUED WITHOUT NOTICE. BY ACCESSING THIS PRE-RELEASE PRODUCT, CUSTOMER ACKNOWLEDGES THAT XIRP MAY CONTAIN ERRORS, LIMITATIONS, OR UNEXPECTED BEHAVIOR. XIRP IS PRIMARILY INTENDED FOR CUSTOMER’S INTERNAL EVALUATION AND TESTING AND ANY LIVE OR PRODUCTION USE IS AT CUSTOMER’S OWN RISK. XIRP IS NOT COVERED BY ANY CUSTOMER SUPPORT GUIDELINES OR SERVICE LEVEL AGREEMENT OR THIRD-PARTY-ATTESTATIONS. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, XIRP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR INDEMNITIES OF ANY KIND.
    2. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, WITH RESPECT TO CUSTOMER’S USE OF XIRP, SPOTIFY’S MAXIMUM AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO XIRP, WHETHER IN CONTRACT, TORT OR OTHERWISE WILL NOT EXCEED USD $5,000.
  6. Indemnification
    Customer agrees to indemnify and hold Spotify harmless from and against all claims, damages, losses, and expenses of any kind (including reasonable attorneys’ fees and costs) arising out of or related to: (1) Customer’s breach of any of these Preview Terms, (2) any Customer Session Interaction Data, including any claim that such data, or Spotify’s processing of it in accordance with these Preview Terms infringes or misappropriates the intellectual property rights or other rights of any third party, (3) any activity in which Customer engages on or through Xirp, (4) Customer’s violation of any law, or the rights of a third party, including any violation of the terms and conditions applicable to the Third-Party AI Agents, and (5) any acts or omissions caused by Customer’s Third-Party AI Agent.
  7. Confidentiality
    Customer must keep confidential, and must not disclose to any third party, the existence and details of Xirp, its features and functionality, any bugs, errors or performance characteristics observed during evaluation, and any performance information, benchmarking results or other non-public information relating to Xirp, including the terms and conditions of these Preview Terms, except as expressly permitted by Spotify in writing. For the avoidance of doubt, the confidentiality obligations in this section extend to all forms of public communication, including social media platforms, developer forums, professional networks, press, and any other public or semi-public channels. Customer must not issue any public statement regarding Xirp without Spotify’s prior written consent. This section applies in addition to any confidentiality obligations in the Agreement.
  8. Governing Law
    These Preview Terms are subject to the governing law and dispute resolution clauses in the Agreement.
